Terms of Service

These Terms of Service (“Terms”) govern your use of the asambl website (asambl.app), the asambl desktop application, and the asambl companion web app (calendar.asambl.app) (together, the “Service”), provided by Asambl Technologies Ltd, trading as asambl (“we”, “us”, “our”).

By using the Service, you agree to these Terms. If you do not agree, please do not use the Service.

Summary (Plain English)

The short version, in ordinary words. The numbered sections below are the binding ones.

  • You need to be 18 or over to use asambl.
  • Your plans, notes and files are yours. They live on your computer, and you can export or delete them at any time.
  • AI drafts suggestions for you to review. It is planning help, not medical, financial, legal or other professional advice.
  • Fair, personal use of the AI features is included in your plan.
  • There is a 21-day free trial, then one paid plan. Cancel anytime and keep access to the end of the billing period.
  • These Terms are governed by the law of England and Wales.

1. Description of the Service

asambl is a desktop application for macOS and Windows that helps you plan and organise your week using structured inputs and AI-assisted outputs, with your planning vault stored on your own device and AI features you can switch off. An optional phone companion web app at calendar.asambl.app shows that day's asambl events and lets you capture quick notes and training sessions that sync back to your desktop. The website provides product information, downloads, and a newsletter.

Features, availability, and pricing may change over time.

2. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you confirm that you meet this requirement.

3. Interacting with AI

asambl is an AI-powered product. When AI features are turned on, you are interacting with an AI system within the meaning of Article 50 of the EU AI Act. Asambl Technologies Ltd is the provider of that AI system; the underlying general-purpose model is provided by Microsoft via Azure OpenAI Service.

AI outputs may be inaccurate, incomplete, or out of date. Review them before relying on them. We do not use AI to make solely automated decisions about you that produce legal or similarly significant effects within the meaning of Article 22 of the UK and EU GDPR.

4. Your Account and Data

Local Planning Data

The asambl desktop application stores your planning data locally on your device. You are responsible for backing up your data. We do not have access to your locally stored planning data and cannot recover it if it is lost.

AI Features

When AI features are enabled, the app sends only the prompt assembled for that specific request to asambl’s managed AI endpoint, which uses Azure OpenAI Service hosted on Microsoft Azure. Your subscription (and the free trial) includes use of this managed AI endpoint; no separate API key is required. You can turn AI off at any time from settings, and the application’s non-AI features remain fully usable.

5. Acceptable Use

You agree not to:

  • use the Service to generate, store, or process content that is unlawful, harmful, threatening, abusive, or otherwise objectionable
  • input biometric data, special-category personal data about other people, or other people’s confidential information into asambl without a lawful basis to do so
  • use asambl’s AI features to make solely automated decisions about other people that produce legal or similarly significant effects on them
  • attempt to reverse-engineer, decompile, or extract source code from the desktop application except where permitted by law
  • interfere with or disrupt the Service or related infrastructure
  • use the Service in a way that violates the terms of any integration you connect to, such as Google Calendar or web search

6. Fair use of AI features

AI requests cost asambl real money to run. To keep the Service sustainable for everyone, we ask that you use asambl’s AI features at a reasonable, human pace, for your own personal planning, not for automated, programmatic, or commercial-scale use.

If a small number of users consume a disproportionate share of AI capacity, we may temporarily throttle or pause AI features for those accounts and contact you to discuss usage. We won’t do this without telling you. If AI is paused on your account, you still have full access to your data and to the rest of asambl, only the AI features pause.

We don’t publish a hard request limit yet because we want to learn what reasonable looks like. Once we have data, we’ll publish specific numbers here.

7. Third-Party Services

The Service relies on or integrates with third-party services, including our managed AI endpoint, email and analytics providers, and optional integrations such as Google Calendar and web search.

Your use of any third-party service through asambl may be subject to that provider's own terms and privacy policy. We are not responsible for third-party services and do not control their availability, security, or performance.

8. No Professional Advice

asambl is a planning tool. It does not provide medical, legal, financial, tax, therapeutic, or other regulated professional advice. Any AI-generated or app-generated output is provided as a draft aid for planning and organisation only. You are responsible for reviewing, validating, and deciding whether to act on any output.

The following module-specific clarifications apply (the general clause above covers every other area, including Work & Career):

  • Fitness. Outputs are training and nutrition suggestions, not medical, physiotherapy, or clinical advice. Consult a qualified professional before starting, changing, or continuing any exercise or nutrition programme, particularly if you have an injury, medical condition, or are pregnant. Stop and seek medical attention if you experience pain or other symptoms.
  • Finance. Outputs are organisational drafts, not financial advice, investment guidance, tax advice, or creditworthiness assessments. Do not use them as the sole basis for financial decisions.
  • Mind & Growth. asambl is not a medical device, mental health service, or substitute for clinical care. If you are in crisis, contact local emergency services or a qualified professional.
  • Relationships. asambl is a planning tool, not therapy or counselling, and is not a substitute for professional support.

9. Intellectual Property

Your Content

You retain all rights to the content you create in asambl, including notes, profiles, preferences, and any outputs generated through the Service. We do not claim ownership of your data.

Our Software

The asambl application, website, brand, and associated materials are the property of Asambl Technologies Ltd or its licensors. These Terms do not grant you any right to use our trademarks, logos, or brand identity except as expressly permitted by us in writing.

10. Feedback

If you choose to send us feedback, ideas, suggestions, or beta comments, you agree that we may use them to improve the Service without restriction or compensation to you.

This does not affect your ownership of your own planning data or personal content.

11. Trial, Subscription and Licensing

asambl offers a 21-day free trial of the full product. No payment details are required to start the trial, and nothing converts automatically: when the trial ends, continued use of the Service requires a paid subscription.

Subscriptions are billed monthly or annually at the prices shown on the pricing page at the time you subscribe. You can cancel at any time; access continues to the end of the current billing period, and your locally stored data remains yours regardless. We may update pricing and features for future billing periods with reasonable notice.

Refunds. Any payment, whether a first payment or a renewal and whether monthly or annual, is refunded in full if you ask within 14 days of the charge; email [email protected] and no reason is needed. A charge made in error (for example a duplicate charge, or a charge after you cancelled) is refunded whenever you tell us about it. After 14 days a payment is not normally refunded, and cancelling stops future charges while keeping your access to the end of the period already paid for. Nothing in this clause limits the rights the law of your country gives you.

Payments are processed by Stripe on its own checkout page; asambl does not receive your card details. Your licence key is issued by email to the address you use at checkout and is linked to that address.

Licence and activation keys are personal and non-transferable unless otherwise stated.

12. Beta Programme

asambl ran an invite-only beta before general availability. That programme has now closed. Beta activation keys issued during it continue to work free of charge for as long as the Service exists, with no expiry and no conversion to a paid subscription. This replaces the earlier founder-rate commitment to the first 200 beta members, which no longer applies because beta members do not pay.

Where a feature is marked as beta, preview, or experimental inside the app, it may contain bugs, incomplete behaviour, or change without notice, and by using it you accept those risks.

13. Availability and Changes to the Service

We may update, change, suspend, or remove features or parts of the Service at any time.

We do not guarantee that the Service will always be available, uninterrupted, or error-free. Parts of the Service may change quickly as we improve the product.

14. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied.

We do not warrant that the Service or its AI features will be uninterrupted, error-free, secure, or that AI-generated outputs will be accurate, complete, current, or suitable for any particular purpose.

AI-generated content is a draft aid, not professional advice. You are responsible for reviewing and validating any outputs before acting on them.

15. Limitation of Liability

To the maximum extent permitted by law, Asambl Technologies Ltd will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, loss of profits, or business interruption, arising out of or related to your use of the Service.

Our total liability for any claim arising from these Terms or the Service will not exceed the amount you paid us, if any, in the twelve months preceding the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud or for death or personal injury caused by negligence.

16. Termination

You may stop using the Service at any time.

We may suspend or terminate your access if you breach these Terms or if we discontinue the Service.

Your locally stored planning data remains on your device after termination. We have no obligation to maintain or provide access to any data stored on our infrastructure, such as newsletter or usage records, except as required by law or under our Privacy Policy.

17. Changes to These Terms

We may update these Terms from time to time, including as further provisions of the EU AI Act take effect. The “Last updated” date above will change when we do.

If changes are material, we will provide notice by email to registered users where reasonably possible. Continued use of the Service after the updated Terms take effect constitutes acceptance of those changes.

Changelog, 7 September 2026: replaced the refund wording in clause 11 with a 14-day full refund on any charge, no reason needed, plus refunds of charges made in error; clause 12 now records that beta keys stay free for good, replacing the founder rate. Changelog, 3 September 2026: named Stripe as the payment processor and stated that a licence key is issued to, and linked to, the checkout email address (clause 11). Changelog, 31 August 2026: recorded the close of the invite-only beta and general availability; replaced the beta-access framing with the 21-day free trial and subscription terms (clause 11); reframed clause 12 to honour beta keys and the founder rate; updated the plain-English summary and description of the website; added the refund policy to clause 11. 18. Governing Law

These Terms are governed by the laws of England and Wales.

Any disputes arising from these Terms or the Service will be subject to the exclusive jurisdiction of the courts of England and Wales, except where applicable law provides otherwise.
